User Agreement for Expert Lifestyle Services Pvt. Ltd. (ELS)

Contractual Terms and Conditions:

This Agreement is entered into between:
ELS Pvt. Ltd. a company incorporated under the Companies Act, 1956 and having its office in Jalandhar, Punjab, (hereinafter referred to as the Company on the one part) And Any User / Associate / who buys the Product and Services Package of the company, as specified herein below, (hereinafter referred to as the “Associate “on the other part).

The Associate represents and warrant that the marketing program and the compensation plan, its limitations and conditions have been understood clearly by him / her and, the Associate is not relying upon any representation or promise that is not contained in this Agreement or other official company material.

ELS Associate shall be a person who click on Signup on the Home Page of website and then fill the form. Such application is electronically submitted and Online Purchased Product is instantaneously delivered by accepting LEGALS (Terms and Conditions) and FAQ‘S (given on our website).

ELS Associate for promotion of our Business / Mission shall act and be as an independent contractor and shall not have any authority to bind the company for any obligations whatsoever. The relationship between the company and ELS Associate is governed by the Terms and Conditions as laid down in this agreement. When this Agreement is agreed and accepted online by any Purchasing Associate. ELS Associate shall be presumed to have understood the Terms and Conditions of this Agreement which are detailed herein below.

Declaration (for the purchase of Package):
“Certified that I am at least 18 years of age and have completed at least 10th grade of schooling. I have received complete “ELS Growth/Lifestyle Package” Online immediately after registration. I am completely satisfied with ELS Product. I have completely understood how to learn courses given in ELS Growth/Lifestyle Package online by myself (using Computer and Internet at my own cost). The refund policy is understood by me very clearly. I have carefully read the LEGALS (Terms and Conditions) and FAQs applicable to ELS Pvt. Ltd. as given on website www.elifestyle.co.in and agree / accept to them. I am accepting this DECLARATION with complete understanding and with my own WILL, without any PRESSURE / UNDUE INFLUENCE and INDUCEMENT. I am aware that any dispute arising out of this purchase would first be solved as per Terms and Conditions of the company, failing which could be addressed exclusively in Jalandhar, Punjab jurisdiction only.”

Terms & Conditions:
ELS expect all Expert Business Owners (Associate) to uphold the principles of equality, truthfulness and reliability in all their dealings and activities as Associates.

These regulations forms part of the ELS Policies & Procedures and all other regulations and agreements currently in place which bind every Associate. Any serious violation of the regulations, Policies and Procedures, regulations and agreements in place will involve action(s) being taken by ELS in accordance with the ELS Policies & Procedures.

It is a mandatory requirement that Associates comply with the Regulations of morals at all times.
  • ELS Associate Will never engage in unpleasant, objectionable, offensive or abusive conduct, unfair or aggressive conduct when contacting or dealing with any other person in relation to ELS or Business opportunity it provides.
  • ELS Associate Will offer the opportunities of, and associated with ELS on its merits without overstatement, suppression, concealment, nosiness or misrepresentation.
  • ELS Associate Will at all time, when contacting anyone either from a telephone list or by other means, respect the privacy and wishes of the person contacted.
  • ELS Associate Will ensure they maintain their personal presentation in dress, language and documentation to the highest possible standard.
  • ELS Associate Will observe the provisions of the law and good manners regarding times and days when making the call and appointments. While Presenting the Business Plan at any time, conducting a Training Event or Seminar or Business Meeting will:
  • ELS Associate will not falsely represent to any person any details regarding the financial rewards available under the ELS Business Plan.
  • ELS Associate will not make any false or misleading representations about the features of ELS’s products, services and programs, including as to their standard, quality, value, characteristics, accessories, uses for a particular purpose, merchantability or benefits.
  • ELS Associate will not make any false or misleading representations about the price of ELS products or services.
  • ELS Associate will not engage in conduct that is liable to mislead anyone as to the nature, manufacturing process, characteristics, suitability for purpose or quality of any ELS products or services;
  • ELS Associate will not make any false or misleading representations concerning the need by anyone for goods or services.
  • ELS Associate will make it thoroughly clear to any person to whom the Associate discusses the opportunity that financial rewards to Associates are based on ELS Associate’s individual performance.
  • ELS Associate will use official literature as approved by ELS including forms, scripts and other tools.
  • ELS Associate must not at any time take advantage of another person’s disabilities or weaknesses, such as illness, age, infirmity, lack of education or unfamiliarity with language.
  • ELS Associate must not at any time refuse to identify themselves when requested to do so.
  • ELS Associate will be entitled to participate in the business and education program of the company upon acceptance of an application by the company, with a Business Opportunity After making sale of  two ELS Growth/Lifestyle Package, Associate will be eligible to get commission on the sales occurring in his / her organization due to his / her continuous Participation / Training / Teaching / Helping and Development to all the Associate in his / her organization and with fulfillment of the conditions,
  • ELS Associate shall be solely responsible for payment of his / her taxes and other levies [central or state] in general course of his self- employment as independent Associate or Company's web based program as per the laws and rules governing his / her Province / State / Country. Independent Associate’s agree that in India the revenue earned during the financial year will be liable to tax deduction at source at such rates as applicable in accordance with the Income Tax Act, 1961 or rules, amended from time to time.
  • ELS Associate at his / her / its own expense, will make, execute and file all such reports and obtain such licenses as are required by law or public authority with respect to this Agreement. The company is not responsible for illegal submissions / representations made by any Associate.
  • The Associate can cancel his / her Product / Services within 30 Days (inclusive the payment receiving Day) by sending either written request or posting cancellation request at www.elifestyle.co.in or by filling the Purchased Product Cancellation Form, available at logged in area of the Associate, if he / she feels cheated, misguided by his / her selling Associate or not satisfied with the performance of the Product, or due to any other reason. Please note that all the cancellation requests which are received on last Day till 6 P.M will only be entertained. The Associate is entitled for refundable amount of Rs. 500/- after deducting processing fee of Rs. 166/- and applicable Service Tax as per Govt. of India  If Associate approves his/her account after taking Product/service and reading all terms and conditions then his Product/Service can’t be canceled in any circumstances. It is the duty of Associate to understand all legal aspects and terms and conditions before approving his/her account.
  • Initially there is no Term/Renewal but AMC can be charged later on if required.
  • When presenting or discussing the ELS Business Plan and the Benefits which might be available, ELS Associate must generally rely for reference on ELS literature and observe the following regarding the contents of the business Plan :
  • If predictions as to profitability are made, they should reflect what an average person carrying on the Business would achieve under normal circumstances.
  • If any estimates of profits are made, the assumptions on which they are based should be clearly stated.
  • Where there is no previous experience on which to base expectations as to profitability this should be stated when making the representation.
  • When presenting or discussing the ELS Business Plan, ELS Associate must not make false representations concerning:
  • any risks likely to be associated with carrying on the Business;
  • the amount of time the average person would have to devote to carrying on the Business;
  • The annual expenditure and the annual gross income which the average person carrying on the Business might expect and the method of calculating those figures.
  • Payment Release by NEFT / Bank Transfer
  • TDS as Per Government Rule 10.30% and Administrative Charge 5% will be Applicable, from each and every payout from each distributor.
  • Minimum Fund Transfer Rs. 500/-
  • 4th & 7th Paid Pair Will be Lapse.
  • Trimming is applicable as and when required.
  • Authorization of ELS Associate is limited. They shall refer any matter pertaining to ELS to the designated Company Representative. ELS Associate shall not interfere in any decision making process without prior written approval from the Company Representative.
  • ELS do not condone the intentional poaching of other competitors’ Associates or Associates from another Line of Introduction within the ELS Business.
  • It is expressly understood by both the parties here that any act of God or force majeure, that include, but is not limited to, natural disaster, war, technical failures and operation of Law / Government Policies that may prevent the due performance of any of the obligations under this Agreement, or under any Terms / Conditions / Subsidiary Agreement that may form an integral part of this Agreement, will not be construed as failure to perform the contract by either of the parties hereto. However, it is clarified that the party, so affected will take all possible steps towards normal performance of obligations under this Agreement, as soon as possible. No party will be responsible for any loss due to the other party, in these circumstances.
  • The company may disclose such Login Ids / Passwords or any other reference code / number referring to any user or any information provided by any user, if required to do so by any law enforcing authorities or by courts, or in public interest or in good faith when the company believes that such action is necessary to conform to the requirement of law or to comply with the Legal process or in reply to any notice served upon the company or to protect and defend any rights of the company with respect to the Products / Services contemplated under this Agreement or to protect the safety of the users / the company / the public in extraordinary circumstances.

General
  • LEGALS means AGREEMENT (Terms and Conditions) applicable to ELS Pvt. Ltd.
  • The Company reserves its right to change the Terms and Conditions of the Agreement under which the Product / Services and Business opportunity of the company are being offered.
  • The company reserves the right to deny, in its sole discretion, before / after termination of this Agreement, user access to web site, facilities, products or services, without any notice or reason.
  • This Agreement constitutes the entire Agreement between the parties on the subject matter thereof, however, Associate / User understands that any Commitment, Terms and Conditions, as displayed on the web site of the company, will be treated as integral part of this Agreement , which would be binding on both parties. No additional promises, representation, guarantees or Agreements of any kind, shall have any validity concerning the subject matter of this Agreement, unless the same is in writing and is agreed upon and signed by an authorized representative of the company in hard copy form.
  • If there is any conflict between the currently available user Agreement and other documents, the currently available user Agreement available on the company's website shall govern, whether such other documents are being made / created prior to or subsequent to currently available user Agreement, or is signed or acknowledged by any Director, Officer, Employee, Representative or Associate of  ELS Pvt. Ltd.
  • The Company does not owe any responsibility whatsoever for any Loss, Damage or Distress to any person, whether or not a purchaser of our Products / Services on account of any action taken or not taken on the basis of our Product / Business / Mission.
  • Associate interested to promote ELS Business / Mission must examine their Country / State / Province laws. Company will not be responsible in any ways if any Associate is promoting the Business / Mission without examining their Country / State / Province laws. However, our product ( Free or Paid ) could be obtained for only learning purposes from anywhere.
  • Company releases the earned commissions only to the Associates who are 18 years of age and their PAN ( either photocopy of Pan Card or digital copy of Pan Card uploaded on our website www.elifestyle.co.in  from Update PAN link available in logged in area) is received by us. If you have not acquired the age of 18 or not have sent a photocopy of your PAN card, you are not entitled to receive any commissions. However, the Twice a Day/Day you acquire the age of 18 and the Twice a Day/Day we receive your PAN you are eligible to earn ongoing commissions since then.
  • If the total number of sales for any Twice a Day/Day / Twice a Week / Week / Fortnight / Month is not sufficient to release the commission then either we will club the sales of that Twice a Day/Day / Twice a Week / Week / Fortnight / Month to the sales of next Twice a Day/Day / Twice a Week / Week / Fortnight / Month and run the commission on the basis of total sales for these Twice a Day/Days / Twice Weeks / Weeks / Fortnights / Months and also can modify orbit / step rates to run the commission. The minimum sales required to run the commission in any specific Twice a Day/Day / Twice a Week / Week / Fortnight / Month would be determined / decided by the company and the decision of the company in this regard would be final.
  • Users are recommended to buy ELS Growth / Lifestyle Package if they feel that the full package is important and useful for them, otherwise only FREE Package could be obtained / purchased.
  • People are encouraged to buy our products only if they are primarily willing to learn our designed courses. People participating in our program just to take the benefit of our incentive plan are highly discouraged. Commissions / Incentives are not the right of any Associate; however, purchased products would be served for the purchased time period.
  • Any sale done against the Terms and Conditions of the company by way of misrepresentation or otherwise solely for the purpose of earning commissions is not allowed and any Legal problem or losses arises due to this will completely be the responsibility of the Selling ( Sponsoring ) Associate.
  • This is the responsibility of the Selling Associate to make sure that the Purchasing Associate possess reasonable understanding of  English language and make sure that he / she understands our  LEGALS, Terms and Conditions, FAQs and contents of our Products very clearly. In case Selling Associate has any doubt about the understanding of English language of the Purchasing Associate, he / she should advice him / her to first learn using our FREE PACKAGE and help them to LEARN.
  • We may add / delete any existing Products / Services at any time and may amend existing Terms and Conditions / Agreement at any time due to any reasons which are in the interest of Company's Business / Mission and the decision of the company in this regards would be final. During the subsistence of the agreement or thereafter, if any amendment / amendments are made then the effect of such amendments will be retrospective.
  • Company reserves the right to change the Business Plan in case Govt. Policy / Law/Business Environment inforce changes.
  • As trademarks, logos and service marks are registered and owned by ELS and/or its affiliates, all written materials are the copyright of ELS, the use of trademarks, logos or service marks or the publication of copyright materials may only be undertaken with the written authorization from ELS and not otherwise.
  • ELS Associate will ensure the Associate’s in his/her group are aware of these regulations and at all times carry out their Business relationships either within the group or with Associate’s of the public; lawfully; with courtesy and integrity; and in accordance with these regulations.
  • ELS Associate will ensure they remain well informed regarding laws applicable to the Business and duties of  ELS Associate including other essential facts and public policies or regulations which may affect such Business and duties.
  • ELS Associate will keep confidential and not unethically use information that may be of detriment to another Associate’s Business.
  • Associate (s) must not tout for or on behalf of another Company or Direct Selling Company.
  • Associate (s) must not divulge confidential information to unauthorized persons or for unauthorized or unethical purposes.
  • Associate (s) must not discuss financial aspects of other Associate’s Businesses.
  • Associate (s) must not encourage another Associate to change Line of Sponsorship or Introduction.
  • Associate (s) must not engage in Cross Lining or Poaching; encourage or induce any other person to engage in Cross Lining or Poaching;
  • Associate (s) must not use ELS’s sponsored Functions, Literatures or CDs to support Cross Lining or Poaching.
  • ELS Associate, either with or without an upline’s assistance, must at all times complete all relevant parts of an Application in the presence of the Prospect.
  • A Sponsor or Up line Associate must explain to the Prospect, and  make him/her complete in their presence, the details of the Application Forms so that the Prospect comprehends that they are correct.
  • The Application Form is subject to ELS’s discretion in accepting it as a valid application and making the appointment of that person as ELS Associate.
  • If ELS Associate becomes aware of a breach of these regulations, and wishes to proceed to lodge a complaint, the complaint should be made in writing in accordance to ELS Policies & Procedures.

  • Perform all my professional activities in a manner that will enhance my reputation and the positive reputation established by ELS
  • Present the marketing plan accurately and honestly, clearly portraying the level of effort required to achieve success
  • Accept and carry out to my best effort all duties expected of ELS Associate and sponsor, including training and supporting the down lines in my organization
  • Abide by all policies and procedures that are applicable to the operation of my business
  • Strive to ensure that my down lines are satisfied with my service and leadership
  • Present realistic income possibilities only, and solely in relation to the appropriate effort involved
  • Answer the questions and queries of prospects and down lines fairly and honestly
  • Present the benefits and information of the business as stated in the Company’s official website and from my own personal experiences
  • Sponsor/refer only those people that I have developed as my own down lines and/or business prospects
  • Always encourage prospect(s) developed by their initial referrers to be sponsored by them as well
  • Be clear that in ELS Business Plan, my income is related to my marketing and leadership skills as well as my own personal efforts
  • Treat all prospects, down lines and associates with respect, goodwill, and professional courtesy
  • Not entice down lines from outside my Line of Sponsorship to sign under my organization.
  • Not misrepresent the ELS’s business in any way
  • Not use any advertising which I know may be false or misleading
  • Be fair and just to my down lines and associates, and not engage in practices which may reflect unfavorably on myself, my organization, the Company and the industry
  • Conduct myself in such a manner as to reflect only the highest standard of integrity, frankness and responsibility because I recognize that my actions as ELS Associate with ELS have far-reaching effects
  • Use the information contained in all our websites for my personal, non-commercial use only
  • Not create any unapproved or illegal websites which will tarnish the image of ELS and its related companies

Jurisdiction And Disputes Resolution Mechanism:
This Agreement shall be construed and enforced in accordance with the Laws of Union of India and shall be subject to Jalandhar, Punjab Jurisdiction.
  • All disputes between the Associate / User and the company arising out of or in relation to this Agreement directly or indirectly shall be first settled amicably through negotiation between the parties. In the event of the dispute not being settled amicably between the parties, the same shall be referred to the Sole Arbitrator appointed by the company under the Provision of Arbitration & Conciliation Act, 1996 and the venue shall exclusively be at Jalandhar, Punjab only. The Managing Director, ELS Pvt. Ltd. shall be appointed as the Sole Arbitrator to adjudicate upon the disputes or the Managing Director may appoint someone else to adjudicate upon the disputes.
